These terms apply to your use of this website and to every order you place with CMP Automate. Please read them before you order. This is a plain-language summary of our trading terms and is not legal advice — for anything specific to your situation, please seek your own advice.
Who we are
In these terms, “CMP Automate”, “we”, “us” and “our” mean CMP INTERNATIONAL LLC, holder of UAE trade licence 2100187.01, trading as CMP Automate from The Meydan Hotel, Grandstand 6th Floor, Meydan Road, Nad Al Sheba, Dubai 50814, United Arab Emirates. “You” means the person or business placing the order. Products & surplus
CMP Automate sells new, used and refurbished surplus automation products. We are not an authorized distributor, affiliate or representative for the brands we carry, and the products we supply do not come with the original manufacturer’s warranty. Any warranty is the one described in the “Warranty” section below and on our Warranty page.
Quotations
Unless we state otherwise, a quotation is valid for 30 days and is an invitation to treat rather than an offer to sell. Quoted prices are in US dollars unless stated otherwise, may exclude tax and delivery, and remain subject to change and to confirmation of stock at the time we accept your order.
Orders & acceptance
When you place an order you are making an offer to buy. A contract is only formed when we accept that order — either by confirming it in writing or by dispatching the goods to you. Until then we may decline or cancel an order, for example where a part is no longer available, where stock or pricing information was incorrect, or where we are unable to verify your details.
These terms apply to every order and prevail over any terms in your purchase order or other documents, whether or not they conflict.
Prices, taxes & payment
Prices are in US dollars unless we state otherwise. CMP INTERNATIONAL LLC is registered for value added tax in the United Arab Emirates under Tax Registration Number (TRN) 104629652900003, and VAT is charged at the prevailing rate on taxable supplies. Where any other tax or duty applies, it is added to the price and shown on your invoice. Delivery charges are shown at checkout or quoted separately.
We accept the payment methods shown at checkout, and approved business account customers may be offered purchase-order or credit terms. Where account terms apply, invoices are payable by the due date shown; we may charge interest on overdue amounts and suspend supply while any amount remains unpaid.
Delivery & risk
Any delivery timeframe we give is an estimate only and is not guaranteed. We may deliver an order in parts, and each part may be invoiced separately. Risk in the goods passes to you on delivery to you or to your nominated address or carrier, and we recommend you insure the goods from that time.
Inspection
Please inspect goods on delivery and tell us within 7 days if there is any shortage, damage or error. If you do not, the goods are treated as accepted — but this does not affect any rights you have under applicable law that cannot be excluded.
Retention of title
Title to the goods stays with us until you have paid for them in full, even though risk passes to you on delivery. Until the goods are paid for you must keep them in a way that shows they remain our property, and you may on-sell them only in the ordinary course of your business.
Returns
Outside any rights you have under applicable law, returns must be approved by us first. Approved returns must be in re-saleable condition and returned within 30 days of supply, with freight prepaid; a handling fee may apply. Items that were custom-sourced or specially ordered for you cannot be returned unless the law requires it. See our Returns page for how to request an RMA.
Warranty
The products we supply do not carry the original manufacturer’s warranty. Instead, every part we supply is backed by our own 1-year warranty, whatever its condition. Full details, exclusions and the claims process are on our Warranty page. Nothing in these terms excludes any right or guarantee that applicable law does not allow us to exclude.
Manufacturer information
Specifications, images, datasheets and compatibility information are provided for identification and guidance only, are often supplied by third parties, and may vary by revision or series. You are responsible for confirming that a part is suitable for your application before ordering.
Trademarks
Designated trademarks, brand names and product names are the property of their respective owners and are used for identification only. This website is not sanctioned or approved by any manufacturer or trademark listed.
Firmware
Products may include older firmware revisions. It is your obligation to comply with the terms of any end-user license agreement or similar document related to obtaining or installing firmware.
Limitation of liability
Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded under applicable law.
Subject to that, and to the fullest extent permitted by law, CMP Automate is not liable for indirect or consequential loss, loss of profit, loss of production or loss of data, and our total liability for any claim is limited to the amount you paid for the product giving rise to the claim.
Events beyond our control
We are not liable for any delay in or failure of performance caused by events beyond our reasonable control, including supplier failure, transport or customs delay, industrial action, utility or network failure, natural events, or governmental action. Where such an event continues, either of us may cancel the affected part of the order.
Cancelling an order
You may ask to cancel an order before dispatch and we will confirm whether cancellation is possible; charges already incurred, including for custom-sourced or specially ordered items, may still be payable. We may cancel an order in the circumstances described in “Orders & acceptance” and will refund any amount you have paid for the cancelled items.
Export control & sanctions
Automation products may be subject to export control, re-export and sanctions rules in the UAE and in other countries. You confirm that you will not export, re-export, transfer or use the goods in breach of any applicable export control or sanctions law, and that the goods are not intended for any prohibited end use or end user. We may decline or cancel any order, or withhold delivery, where we believe supply would breach those rules.
Privacy
We handle personal information in line with our Privacy Policy, which explains what we collect, why, and how long we keep it.
Changes to these terms
We may update these terms from time to time. The version published on this page at the time you place an order is the version that applies to that order.
Governing law, language & jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or their subject matter, are governed by the federal laws of the United Arab Emirates as applied in the Emirate of Dubai. The Courts of Dubai have exclusive jurisdiction over any such dispute or claim.
These terms are published in English. If we make a translation available and the two versions differ, the English version governs.
